分包合同

Whereas the Contractor desires to have executed Works of which particulars are set out in Schedule 1 of the Appendix to this Sub-Contract (hereinafter referred to as “the Sub-Contract Works”) and which form part of the Works (hereinafter referred to as “the Main Contract Works”) consisting of and to be performed in accordance with the Main Contract, and any authorised variations of the Sub-Contract Works;鉴于承包商打算拥有一部分工程的施工，此部分工程之明细业已于分包合同（以下称分包合同工程）附录方案1里得到陈述，并包含且需要根据总合同以及任何分合同工程的权威的变更而执行的工程的一部分（以下称主合同工程）（第一行的to have executed Works，不知道是to have something结构还是to have done something还是to have something done结构，比如I am sorry to trouble you和I am sorry to have troubled you,很抱歉要打扰你一下，很抱歉已经打扰你了，这个地方我不理解。Of which=whose。第三行的which仍旧是指前边蓝色部分。后面的consisting是修饰the Works的，注意是“the Works”小写the,大写的W,指全部工程，consisting后面就是全部工程的内容了:main contract项下的和分包合同工程里面授权变更的内容。）



Observe, perform and comply with all the provisions of the Main Contract on the part of the Contractor to be observed, performed and complied with so far as they relate and apply to the Sub-Contract Works (or any portion of them) as if the provisions were severally set out herein; and分包商必须遵守、履行并答应主合同中的所有条款，即，只要是承包商必须遵守、履行并答应的且有关并适用于分包合同工程的任何条款（或者是分包合同中的一部分），如同在此单独列出条款。（第一行的on the part of the contractor一直到as if前边都是修饰provisions of the Main Contract，和在QQ里翻译的有点区别，我用一个“即”指代全部定语内容，请注意句子里面的“并、且，和，之类的连词）



Indemnify and save harmless the Contractor against and from:（不知道harmless为什么放在那里，形容此不可以作宾语，就是作宾语的话也必须前面加the使其名词化，还有后面的contractor, against和from又是什么呢，整句话既不是句子又不是短语，不知道是怎么回事！如果有时间我会看看上下文，可能会发现什么）



Any loss or damage resulting from any claim under any statute in force for the time being by an employee of the Sub-Contractor in respect of personal injury arising out of or in the course of the employment of the employee.分包商职员任何损失或者伤害，导致索赔、任何暂时有效的法令下、就个人伤害、产生于/在雇佣过程中的。（整段全部再说的就是any loss or damage，for the time being是一个短语，表示“暂时，for the moment的书面语，这样的段落很严谨很精确，值得学习，J）



In respect of any injury or damage whatsoever to any property real or personal insofar as such injury or damage arises out of or in the course of or by reason of the carrying out of the Sub-Contract Works.无论私人财产还是不动产、执行分包行为的过程产生的任何损失或伤害。（用“、”，上面好多地方都是用的这个标点，使用什么标点我觉得很重要。Arise out of, in the course of, by reason of ,以及insofar和whatsoever，都是限定范围，使表述更严密）

The Sub-Contractor shall, if required, produce for inspection documentary evidence that the insurances required in this Sub-Contract are properly effected and maintained. The Contractor may require to have produced for his inspection the policy or policies and premium receipts in question. 为了检查，承包商可以要求对一些有疑问的单据和费用收据produced录制？制作？）此句的结构是have the policy…receipts in question produced.被划出的第一段红字也有have …done结构，这个结构太灵活了。



The amount of Liquidated Damages under the Contract is stated in the attached Appendix to Form of Contract, Clause XXXXXX refers蓝色部分：清算损失金额的数量



PROVIDED however, that without prejudice to the foregoing, the Sub-Contractor shall not be entitled to any extension of time for the completion of the Sub-Contract Works where such extension of time is sought in respect of any matter or item of work for which the Contractor has not been granted an extension of time under the Main Contract.然而，假如对前面叙述没有偏见（不违背前面叙述）分包不应该被授权延长分包竣工时间、分包工程范围内此种延期是连承包商都没有授予对任何事项延期竣工的权利而寻求的。（这个句子不好表述，理解上倒是不难，where换成in which，for which换成which…for）

The said prices shall be used as a basis for determining the value of extra work which is not of a similar character or executed under similar conditions, so far as may be reasonable, failing which a valuation thereof shall be made by the Contractor which valuation shall be final and conclusive;该价格必须用作决定额外工作量价值的基础，额外工作量不具有相似特征或者按照相似条款执行，只要合情理，如果没有此基础，一个相应的估价应该由承包商做出，估价应该是最终确实的。（failing是if not, without that的书面语，但是我搞不明白最后一个which是什么意思了，which后面的内容和它的先行词应该有一种关系啊，找不到这种关系，也许可以从上下文中发现）



The prices referred to in (i) hereof shall determine the valuation of items omitted: provided that if omissions substantially vary the conditions under which any remaining items of work are carried out, the prices of such remaining items shall be valued under rule (ii) of this clause假如省略部分可以实质上变更工程余下项目要按照执行的条款，余下项目的价格必须按照此条款规则(ii)被重视.（有些文件应该把“被”翻译出来，尤其是有歧义可能产生法律纠纷的地方，shall含有法律强制力）
