13. CLAIMS 索赔
In case of quantity discrepancy, claim should be filled by Buyer within _2_days after the arrival of the goods at port of destination. For quality discrepancy, claim should be filled by the Buyer within 6_ days after the arrival of the goods at port of destination. In all cases claims must be accompanied by Survey Report(s) of recognized public surveyors agreed to by the Seller.
如果出现货物数量不符，买方应在货物到达目的港后2天内填写索赔声明。如果出现质量问题，买方应在货物到达目的港后6天内填写索赔声明。在任何情况下，索赔声明都要附带有卖方同意的公认的公共监测机构出具的检测报告。
Should the responsibility of the subject under claim be found to rest on the part of the Seller, the Seller shall, withing _2__days after receipt of the claim, send their reply to the Buyer together with suggestion for settlement is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to cause for which the Insurance Company, Shipping Company, or transportation organization and/ or Post Office are to be held responsible.
如果发现问题的责任在于卖方，那么卖方应在收到索赔声明后的2天内将其回复连同解决办法的建议一并发给买方，并说明卖方将不承担应由保险公司、船运公司或者运输机构/邮局应该承担的那些责任。
14. FORCE- MAJEUR 不可抗力
Neither party will bear responsibility for complete or partial non-performance of any of its obligations (except for failure to pay any sum which has become due under the provisions hereof), if the non-performance results from such circumstances as flood, fire, earthquake and other acts of God as well as war5, military operations, blockade, acts or actions of state authorities or any other circumstances beyond the Parties’s control, that have arisen after the conclusion of the Contract.
如果由于以下原因造成合同未履行，比如洪灾、火灾、地震以及其他不可抗力因素例如战争、军事行动、封锁、国家当局的行动或者合同一方无法控制的其他情况，那么任何一方将对此合同的完全未履行或者部分未履行不负有任何责任。
In this case the time stipulated for the performance of an obligation under Contract is extended correspondingly for the period of time of action of these circumstances and their consequences.
在这种情况下，此合同规定的责任约定期将按照以上这些情况的期限及其结果作相应延长。
The Party for which the performance of obligation became impossible shall immediately notify in written form the other Party of the beginning, expected time of duration and cessation of the above circumstances. Certificate of a chamber of commerce (commerce and industry) or other competent authority or organization of the respective country will be a sufficient proof of commencement and cessation of the circumstances.
合同一方在合同规定义务无法履行时需立即以书面形式通知对方，告知此情况的开始时间、预期期限以及停止时间。所属国家的商会（工商协会）或者其他相应机构或组织出具的证书（证明）将作为此情况的开始及结束的充分证明。
If the impossibility of complete or partial performance of an obligation lasts for more than 6 months the Seller will have the right to cancel the Contract totally or partially without the obligation to indemnify the possible losses (including expenses) of the Buyer.
如果造成合同完全或者部分未能履行的情况持续发生6个月以上时，卖方有权全部或者部分取消此合同，并且对给买方可能造成的损失（包括产生的费用）不作任何补偿。

15. ARBITRATION: 仲裁



All disputes arising in connection with this Contract or the execution thereof shall be settled amicably by negotiation. In case no settlement be reached the case under dispute shall then be submitted for arbitration on the Arbitration body, situated in the country of origin of the Defendant in accordance with provisions of the correspondent arbitration rules
出现与此合同有关的任何纠纷应由双方友好协商解决。 如协商不成，那么应提交给被告一方所在国的仲裁机构按照其相应的仲裁规定进行解决。
17.OTHER TERMS 其他条款
The Buyer is requested to sign & return one copy of this Contract immediately after its receipt . Objection if any, should be presented by the Buyer within 5 days after the receipt of the present Contract. In the absence of objections it is understood that the Buyer has accepted the terms & conditions of the Contract.
买方在收到合同后需签字，并立即返还其中的一份。如果有任何疑义，买方须在收到合同后5日内提出。如没有疑义，则视为买方已经同意了合同所列条款。
