合同协议

The terms of agreement:
协议条款
Agent takes obligation to provide Seller a Client, who will make order from one FCL of Seller products and more.Agent will negotiate two of prices for each type of goods – one for Agent, another – for Client.Payment will be done by Client on Client price-list. In reward Seller is obliged to transfer difference between cost of product by Client price-list and cost of product by Agent price list as an Agent comission to a bank account specified by Agent.Comission must be transferred in portions proportional to payment received for the order, depending on negotiated payment term with Client.
代理商有义务向卖方介绍客户,该客户可下一个柜,甚至是更多的货物.每款货物代理商都将得到两份价格,一份自用,一份报给客户.货款将以客户价格支付给卖方.作为奖励,卖方需将客户订购价与代理成本价的差价.按按佣金协议上的规定汇至代理商指定的银行账户.按照与客户协达成的付款方式,收到订单付款后,佣金须按一定比例汇至代理商.

Terms of payment (percentage of prepayment), dates of shipment, exact quantity of goods in order, quality control procedures and other order terms and details, are settled between Client and Seller separately.Agent takes no participation in further talks. As Application to this Agreement comes Agent price-list and Client price-list.Client price-list shall be the one and the only which shall be communicated to Client.
客户与卖方将共同确实下述合同条款:
付款方式(预付款的百分比),货期,订单上货物的准确数量,质量控制程序,及其他条款或细节
根据代理价格清单与客户价格清单规定的协议,代理商无极参考后续谈判.而客户购买价格是代理商惟一有权与客户沟通的条款.

On penalty of order cancellation Seller is obliged not to disclose any details of these agreement, Agent identity, Agent bank details, Agent price-list, especially fact of Agent participation in selling the product to any third party, especially to Client provided by Agent.
为预防订单的取消,卖方无权透漏条款中任何细节,如是代理商身份,代理商银行信息,特别是代理商参与在出售产品给任何第三方,尤其是到客户端所提供的代理人。
